These Terms and Conditions apply to all consulting services provided by Aileon Consulting SARL, Angoulême, France, to business clients (entrepreneurs and legal entities).
Aileon Consulting SARL provides advisory services in international business structures, compliance, business development, strategy, and operational consulting. Services provided expressly do not constitute legal advice within the meaning of the German Legal Services Act (RDG) or equivalent national regulations. For legally binding opinions, engagement of a licensed attorney in the relevant jurisdiction is recommended.
All proposals by Aileon Consulting SARL are non-binding. A contract is formed only upon written order confirmation or upon commencement of service delivery. Verbal ancillary agreements require written form to be effective.
Fees are agreed individually (hourly, daily, or project rate). Invoices are payable within 14 days of invoice date without deduction. In the event of late payment, interest shall accrue at 8 percentage points above the applicable base rate. All prices are exclusive of applicable taxes.
Aileon Consulting SARL undertakes to treat all confidential information received in the course of an engagement with strict confidentiality and not to disclose it to third parties. This obligation survives the termination of the engagement.
Aileon Consulting SARL is liable only for damages caused by wilful misconduct or gross negligence. Liability for ordinary negligence is excluded to the extent permitted by law. As services are advisory in nature without legal binding force, Aileon Consulting SARL accepts no warranty for the accuracy or completeness of information provided on the basis of incomplete client instructions.
These Terms are governed by French law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). To the extent permitted by law, the place of jurisdiction for all disputes arising from or in connection with these Terms is the registered seat of Aileon Consulting SARL in France.
Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the legally permissible rule that most closely reflects the economic purpose of the invalid provision.
